Humi HR Referral Program Terms and Conditions
BE SURE TO READ THE FOLLOWING CUSTOMER REFERRAL PROGRAM TERMS AND CONDITIONS CAREFULLY BEFORE PARTICIPATING IN THE CUSTOMER REFERRAL PROGRAM. PARTICIPATION IN THIS PROGRAM CONSTITUTES YOUR ACCEPTANCES OF ALL THE PROGRAM TERMS AND CONDITIONS.
This Humi HR Referral Program Agreement (the “Agreement”) is entered into by Humi Soft Inc. (“we”, “us”, “our”, or “Humi”) and the referring party executing this Agreement (“you”, “your”, or “Participant”). Your participation in the Humi HR Referral Program (the “Program”) is governed by this Agreement. By participating in the Program, you represent and warrant that: (i) you have full legal authority to enter into this Agreement; (ii) your employment contract (if applicable) does not restrict you from participating in the Program, (iii) any information you provide in connection with the Program is true and accurate, (iv) you have read and understand the Agreement, and (v) you agree to the terms of this Agreement.
- Program Overview.
The Program makes it simple to share Humi with business or personal contacts who you believe would be interested in our services and get rewarded at the same time. For every contact that you refer (a “Friend”) who becomes a paying Humi customer, you will be eligible for an Uber Eats gift card for up to two hundred dollars ($200). In addition, your contacts may also become eligible for an Uber Eats gift card for up to two hundred dollars ($200).
- Participation.
Participate in the Program by sending the referral link to your Friends you believe may be interested in using Humi HR services for them to complete and submit the demo booking form. If one of your Friends completes a product demonstration you will each be eligible to receive a reward. If your Friend registers for a subscription for Humi HR services, you will both be eligible to receive a second reward. Details below.
- Eligibility.
To be eligible to participate (an “Eligible Participant”) in the program you must be (i) a legal resident of Canada, (ii) at least eighteen (18) years of age, (iii) in the case of an individual referring a Friend, a Humi HR service subscriber or employee of a Humi HR service subscriber, (iv) in the case of a Friend, a net new lead. A “net new lead” does not include either (i) a person or organization who is a current or pending Humi HR service subscriber, or (ii) a person or organization who was subscribed to Humi HR services within the thirty (30) days immediately preceding the date of referral. Eligible Participant may not include (i) government officials, government owned or controlled entities and any of their employees, (ii) political parties and candidates, and (iii) representatives, agents, or employees of Humi.
- Rewards.
For every Friend who submits the demo booking form using the referral link and completes a Humi HR service product demonstration, you and your Friend will receive a hundred dollar ($100) Uber Eats gift card. For every Friend who you refer who subsequently registers for a subscription for Humi HR services and completes their client onboarding, you and your Friend will receive an additional hundred dollar ($100) Uber Eats gift card (each gift card is referred to as a “Reward”). You may refer up to a maximum of five (5) Friends per calendar year, unless otherwise allowed by Humi.
Rewards will be emailed to you at the email address provided on the booking form accessible using the referral link. Rewards are not transferrable and may not be redeemed for cash, auctioned, or sold. All Rewards are subject to the issuer's Gift Card Terms of Use available at https://www.uber.com/legal/en/document/. We reserve the right in our sole discretion to substitute a Reward with one of comparable or greater value, change the type of Rewards offered or stop offering certain Reward types at any time and for any reason. All federal, state, provincial, territorial, and local taxes, as well as any other costs and expenses associated with Reward acceptance and use are your responsibility.
All dollar amounts specified herein are expressed in Canadian currency unless otherwise indicated.
- Privacy.
To submit the booking form using the referral link, Friends must provide their name and email address, as well as your email address, so we can send communications in connection with attending a product demonstration and participation in the Program. Information collected will be processed, stored, and used in accordance with our Privacy Policy available at: https://www.humi.ca/terms/privacy/.
By participating in the Program, you consent to the use of your name, address (city and province of residence), and statements relating to the Program or Humi HR services, and photographs or other likeness if requested by us, without further compensation, notification or permission in any marketing and advertising activities carried out by us or our related entities in any media in any territory for an unlimited time, except where prohibited by law.
- Termination and Modification.
We may at any time for any reason, including the corruption of the administration, security or integrity of the Program by fraud, technical failures (including any network server or hardware failure), viruses, bugs, errors in programming, or any other cause, in our sole discretion: (i) modify or update the terms of the Program and this Agreement and will make such modified or updated terms available in writing, or (ii) suspend or terminate your participation in the Program, with or without notice. We may delay a Reward for the purposes of investigation. In the event your participation in the Program is terminated, you will be only entitled to receive Rewards for the completion by you or your Friends of product demonstrations and registration of subscriptions prior to the effective termination date.
- Compliance.
We comply with Canadian privacy legislation (PIPEDA) and anti-spam legislation (CASL). In the event that you provide an email address for a Friend that has previously opted out of receiving our emails, that email address will not be sent an email and will not be eligible for a Reward. We are under no obligation to notify you, for any reason, of a Friend’s ineligibility to participate in the Program.
By participating in the Program, you (i) acknowledge compliance with these terms of this Agreement, including all eligibility requirements, (ii) agree to be bound by the decisions of Humi which shall be final and binding in all matters relating to the Program, and (iii) agree to comply with all applicable laws and regulations.
- Disclaimer of Warranty; Limitation of Liability.
YOU EXPRESSLY AGREE THAT YOUR PARTICIPATION IN THE PROGRAM IS AT YOUR OWN RISK. THE PROGRAM IS MADE AVAILABLE TO YOU ON AN “AS IS” BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. NEITHER HUMI NOR ITS PARENT NOR ANY OF THEIR RESPECTIVE SUBSIDIARIES, THROUGH THESE PROGRAM TERMS, MAKES ANY WARRANTY REGARDING THE PROGRAM, AND EACH EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL OUR BUSINESS, ITS PARENT OR ANY OF THEIR RESPECTIVE SUBSIDIARIES BE LIABLE FOR SPECIAL, INDIRECT, SPECIAL, EXEMPLARY, CONSEQUENTIAL OR INCIDENTAL DAMAGES , INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, REVENUE, USE, OR DATA AS A RESULT OF CLAIMS, WHETHER BROUGHT IN CONTRACT OR TORT, ARISING OUT OF OR CONNECTED WITH THESE PROGRAM TERMS OR THE PROGRAM, EVEN IF CLIENT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL HUMI’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THE PROGRAM OR THIS AGREEMENT, WHETHER ARISING OUT OF OR RELATED TO BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EXCEED ONE HUNDRED DOLLARS ($100).
- Indemnification and Release.
You will defend, indemnify, release, and hold harmless Humi, its parent and their respective subsidiaries, directors, officers and employees against all liabilities, damages, losses, costs, fees (including legal fees), and expenses relating to any allegation or third-party legal proceeding arising out of or in connection to: (i) your participation in the Program; (ii) the awarding, receipt, possession, and/or use or misuse of a Reward, (iii) your breach of this Agreement, and (iv) your breach of any representation or warranty in this Agreement.
